Introduction
These Terms and Conditions ("Terms") govern your access to and use of the YLNMN website and services (the "Services"). Please read these Terms carefully before using our Services.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
Use of Services
Access and Account Security
You are responsible for:
Making all arrangements necessary for you to have access to our Services.
Ensuring that all persons who access our Services through your internet connection are aware of these Terms and comply with them.
Keeping any account credentials confidential and secure.
Prohibited Uses
You agree not to use our Services:
In any way that violates any applicable federal, state, local, or international law or regulation.
To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
To impersonate or attempt to impersonate YLNMN, a YLNMN employee, another user, or any other person or entity.
To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm YLNMN or users of the Services.
In any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Services.
Intellectual Property Rights
Ownership
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by YLNMN, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms.
Restrictions
You must not:
Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as permitted by these Terms.
Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services.
Access or use for any commercial purposes any part of the Services or any services or materials available through the Services.
Client Services and Deliverables
Service Agreements
All specific marketing services, deliverables, timelines, and payment terms will be outlined in separate service agreements or statements of work between YLNMN and the client.
Client Materials
You retain all rights to any content, data, or materials you provide to YLNMN for use in connection with our services ("Client Materials"). You grant YLNMN a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display the Client Materials solely for the purpose of providing the services to you.
Deliverables
Unless otherwise specified in a service agreement, YLNMN grants you a non-exclusive, worldwide, perpetual license to use deliverables created by YLNMN specifically for you ("Deliverables") upon full payment of all applicable fees.
Payment Terms and Refund Policy
Payment Terms
All fees and charges for our services shall be as specified in the relevant service agreement or statement of work.
Unless otherwise specified, payment is due within 30 days of invoice date.
Late payments may be subject to a late fee of 1.5% per month on any outstanding balance.
All fees are exclusive of applicable taxes unless otherwise stated.
Refund Policy
Project-Based Services: For project-based services, the following refund policy applies:
Cancellation before work begins: 90% refund of initial payment
Cancellation after work begins but before first deliverable: 50% refund of initial payment
Cancellation after first deliverable: No refund of payments made
Retainer Services: For retainer-based services, the following refund policy applies:
Cancellation with 30+ days notice: Prorated refund for unused services
Cancellation with less than 30 days notice: No refund for the current month's retainer
Digital Products/Templates: For any digital products or templates:
Within 14 days of purchase: Full refund if unused
After 14 days or if used: No refund
Workshops/Training: For workshops or training sessions:
Cancellation 14+ days before scheduled date: Full refund
Cancellation 7-13 days before scheduled date: 50% refund
Cancellation less than 7 days before scheduled date: No refund
All refund requests must be submitted in writing to accounting@ylnmn.com. Refunds will be processed within 30 business days of approval and will be made using the original payment method.
Cancellation Policy
Project-Based Services: Either party may terminate a project-based agreement:
With 14 days written notice
Immediately in case of material breach by the other party
Retainer Services: Retainer agreements may be terminated:
With 30 days written notice by either party
Immediately in case of material breach by the other party
Effect of Termination:
Upon termination, you agree to pay for all services rendered up to the termination date
YLNMN will deliver all completed work and work-in-progress as of the termination date
Any licenses granted for incomplete work will be null and void unless otherwise agreed
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control.
All cancellation notices must be provided in writing to legal@ylnmn.com.
User Content
User Contributions
Any content you post, submit, publish, display, or transmit through our Services must:
Not violate any applicable law or the rights of any person.
Not be defamatory, obscene, offensive, indecent, or objectionable.
Not contain viruses, worms, or other harmful components.
Monitoring and Enforcement
We have the right to:
Remove or refuse to post any user contributions for any reason.
Take any action with respect to user content that we deem necessary or appropriate.
Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights.
Third-Party Websites and Content
The Services may contain links to third-party websites and content. These links are provided for your convenience only. We have no control over the contents of those sites or resources, and we accept no responsibility for them or for any loss or damage that may arise from your use of them.
Disclaimer of Warranties
YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
YLNMN HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
Limitation of Liability
IN NO EVENT WILL YLNMN, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Indemnification
You agree to defend, indemnify, and hold harmless YLNMN, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of India, without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the courts of India, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.
These Terms comply with the provisions of Indian laws including but not limited to the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection Act, 2019, as applicable and amended from time to time.
Waiver and Severability
No waiver by YLNMN of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of YLNMN to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
Entire Agreement
These Terms, our Privacy Policy, and any service agreements constitute the sole and entire agreement between you and YLNMN regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
Changes to Terms
We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.
